01Agreement to These Terms

These Terms and Conditions govern your use of darkhorsechiro.com and any services provided by Dark Horse Media LLC ("Dark Horse Media," "we," "our," or "us"). By using this website, submitting a form, replying to our messages, or engaging us for services, you agree to these Terms. If you do not agree, please do not use the site or our services.

These Terms work alongside our Privacy Policy, which explains how we handle your information. Where a signed services agreement or proposal exists between you and Dark Horse Media, that agreement controls if it conflicts with anything here.

03Eligibility

This website and our services are intended for business use by clinic owners and their staff. You must be at least 18 years old and able to enter into a binding contract, either on your own behalf or on behalf of the practice you represent. We do not knowingly collect information from anyone under the age of 13.

04Our Services

Depending on the engagement, our services may include:

• Ad scripting, editing, and creative production
• Campaign management on platforms such as Facebook, Instagram, TikTok, and Google
• Landing pages, forms, and booking systems
• Lead nurturing by phone, SMS, and email, using our team together with automation
• Performance tracking and reporting

The exact scope, deliverables, and timeline for your engagement are set out in your proposal or services agreement. We may adjust our methods, tools, and platforms as needed to deliver the agreed outcome.

05Client Responsibilities

To deliver results we depend on you. As a client you agree to:

• Provide accurate information about your practice, services, and capacity
• Supply footage, assets, and approvals within a reasonable time
• Grant and maintain the access we need to ad accounts, analytics, and booking systems
• Respond to leads and confirmed appointments in line with the process agreed at onboarding
• Ensure any claims about your services, credentials, and outcomes are truthful and substantiated
• Comply with all laws and platform policies that apply to healthcare advertising and patient communication in your area, including consent and privacy requirements

You are responsible for the accuracy and legality of the content you approve, and for how your staff handles patient information once a lead reaches you.

06Fees, Billing, and Cancellation

Fees, billing frequency, and payment terms are set out in your proposal or services agreement. Unless that agreement says otherwise:

• Management fees are billed in advance for each service period
• Advertising spend is separate from our fees and is paid to the advertising platforms
• Fees already paid for a period in progress are not refundable

Either party may end an engagement by giving written notice, in line with the notice period stated in the services agreement. If no notice period is stated there, either party may end the engagement by giving written notice before the start of the next service period. Work continues to the end of the period already paid for, after which campaigns are paused and billing stops.

Invoices for work already delivered remain payable. Late or failed payments may result in work being paused until the account is brought up to date.

On cancellation, access to the accounts and assets that belong to you is returned or transferred in line with the services agreement. Tools, templates, and systems that belong to Dark Horse Media remain ours.

07Advertising Platforms and Ad Spend

Campaigns run on third-party platforms that we do not control. Those platforms set their own policies, review processes, pricing, and account rules, and they can approve, reject, restrict, or suspend advertising at their discretion. We are not responsible for platform decisions, outages, policy changes, pricing changes, or account actions taken against you.

Advertising spend is charged by the platforms to the payment method on the account. You remain responsible for that spend.

08SMS and Email Communications

By submitting your phone number or email address through any form managed by Dark Horse Media or its clients, you consent to receive communications from us, including appointment confirmations and reminders, follow-up messages, lead nurturing messages, and offers or service updates on behalf of our clients.

Message frequency varies. Message and data rates may apply.

09No Guarantee of Results

Marketing results vary. Any figures, timelines, projections, or examples shown on this website or in our materials, including calculators, case examples, and statements such as typical time to first bookings, are estimates for illustration only. They are not a promise, guarantee, or warranty of any particular result.

Outcomes depend on factors outside our control, including your market, pricing, capacity, consult process, staff responsiveness, platform behavior, and competition. Past results achieved for other clinics are not a prediction of your results.

10Intellectual Property

This website and its content, including text, graphics, layouts, code, logos, and the Dark Horse Media name and marks, are owned by Dark Horse Media or used under license. You may not copy, reproduce, republish, or redistribute them without our written permission.

Ownership of the deliverables we produce for you, such as ad creative, scripts, landing pages, and automations, is set out in your services agreement. Unless that agreement says otherwise, we retain ownership of our underlying systems, templates, frameworks, and know-how, and you receive a license to use the deliverables produced for your practice for as long as you are a client.

11Client Materials and Approvals

You keep ownership of the materials you provide, including footage, photographs, logos, and copy. By providing them you confirm you have the rights to do so, including any rights needed for people who appear in them, and you grant us permission to use those materials to produce and run your campaigns.

Unless you tell us otherwise in writing, you also permit us to reference your practice and show anonymized performance results as examples of our work.

12Acceptable Use of This Website

When using this website you agree not to:

• Submit false, misleading, or someone else's information
• Interfere with the site, its security, or its normal operation
• Attempt to gain unauthorized access to any system or account
• Use automated tools to scrape, copy, or overload the site
• Use the site or our communications for unlawful purposes

13Third-Party Links and Services

Our site and our services may link to or rely on third-party websites and tools, including advertising platforms, CRM and automation software, analytics, hosting, and payment processing. We do not control those services and are not responsible for their content, availability, pricing, or practices. Your use of them is governed by their own terms.

18Term, Termination, and Governing Law

These Terms apply while you use this website and for the duration of any engagement with us. We may suspend or end access to the site, or an engagement, if these Terms or a services agreement are breached. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, continue to apply.

These Terms are governed by the laws of the State of Nebraska, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in Omaha, Nebraska, and you and Dark Horse Media consent to that jurisdiction.

19Changes and Contact

We may update these Terms from time to time. The effective date above will be revised when we do, and continued use of the site or our services after an update means you accept the revised Terms.
